چکیده فارسی:

در این مقاله رابطه تجربی بین دارایی نقدی و رفتار سرمایه گذاری هنگامی که مدیران مسئله دار در هیئت مدیره هستند، مورد بررسی قرار می گیرد. ما استدلال می کنیم که مدیران مسئله دار، کیفیت پایین (ضعیف) حاکمیت شرکتی را ایجاد می کنند که شرکت را برای نگهداری دارایی نقدی مازاد تشویق می کند. یافته های تجربی حاکی از آن است که شرکت های دارای حداقل یک مدیر مسئله دار، دارایی نقدی بیشتری دارند. علاوه بر این، شواهد نشان می دهد که شرکت هایی با دارایی های نقدی بیشتر در سرمایه گذاری بیش از حد مشارکت بیشتری می کنند و چنین رفتارهایی بیشتر هنگامی که مدیران مسئله دار در هیئت مدیره هستند، به چشم می خورد. این مطالعه به تحقیقات محدود موجود در زمینه ی سوابق کاری مدیران کمک می کند و شواهدی از تأثیرات مالی را برای شرکت هایی که مدیران مسئله دار را به خدمت گرفته اند، ارائه می کند.

۱.مقدمه

مدیران نقش مهمی در استراتژی های رهبری و مشاوره ای دارند که منجر به انتخاب های خاص برای شرکت می شود. باورهای آنها و تجربه قبلی بر تصمیمات استراتژیک آنها تاثیر می گذارند (پست و همکاران،۲۰۱۴). در نتیجه، ویژگی ها و صفات شخصی منعکس شده در سوابق کیفری یا رفتار نامناسب ممکن است بر تصمیم گیری های شرکت تاثیر بگذارد (امیر و همکاران، ۲۰۱۴). مدیرانی که به عدم وجود صداقت حرفه ای مشهور هستند ممکن است به عنوان مدیر مسئله دار شناخته شوند، که توسط تحلیلگران هیئت مدیره (۲۰۱۱) به این صورت تعریف شده است:……

Abstract

This paper examines the empirical relationship between cash holding and investment behavior when problem directors are on the Board. We argue that problem directors provide lower quality (weak) corporate governance which encourages excess cash holdings. The findings show consistent evidence that firms with at least one problem director hold more cash. In addition, evidence is found that firms with higher cash holdings engage in over-investment and such behavior is more pronounced when problem directors are on the board. This study contributes to the limited research on the professional history of directors and provides evidence of the financial effects for firms served by problem directors.

۱.Introduction

Directors have an important role in directing and overseeing strategy which involves making specific choices for the firm. Their beliefs and prior experience influence the strategic decisions they make (Post et al., 2014). Consequently, the personal attributes and characteristics reflected in historical criminal or inappropriate behavior may impact corporate decisions (Amir et al., 2014). A director who has a previous reputation of exhibiting a lack of professional integrity may be referred to as a problem director, defined by Board Analyst (2011) as:

 “… directors who have been personally involved as a director or executive, in one or more corporate bankruptcies, major litigation or corporate infractions, major accounting restatement and other accounting scandals or have served on compensation committees that have approved particularly egregious CEO compensation packages or other similar circumstances”.

A firm’s board of directors is responsible for monitoring and evaluating business strategy and ratifying appropriate investment. Their corporate governance role requires them to supervise managers, provide advice and to veto poor decisions (Weisbach, 1988). Satisfactory discharge of such responsibility requires board members to work with a high degree of integrity (Kaptein, 2003) but a problem director may be mainly concerned with securing his/her reputation resulting in self-serving decision making and the use of discretionary power to influence strategies such as those related to cash management. Consequently, the inclusion of problem directors on the board may compromise good corporate governance and hinder the board from effectively carrying out its responsibilities. Fich and Shivdasani (2007) identify what they call ‘tainted directors’ as lax monitors who may make it easier for CEOs to carry out value-destroying activities.

  1. Conclusion

In this study, we examine the cash holding behavior of firms which have problem directors on the board. Directors who engage in lower monitoring and opportunistic behavior may prefer to hold cash. We also examine whether such discretionary cash holding leads to overinvestment when a firm is governed by problem directors. Using a sample of 6,174 firms for the years 2004 to 2010, evidence is found that firms affiliated with problem directors hold more cash compared to non-problem director-affiliated firms and that firms governed by problem directors invest more than the optimal level and this may not be due to higher cash holdings. Further, we find that problem directors have an incremental effect on investment behavior and note that principle-agent incentives for problem directors may effect a desire to grow their firms beyond the optimal size resulting in over-investment. Thus, our findings are consistent with agency theory whereby poor monitoring by problem directors leads to overinvestment and the inefficient use of corporate cash reserves.
